CohenMalad, LLP is seeking a talented and experienced Business & Real Estate Attorney to join our dynamic legal team.
We are looking for a candidate with a strong foundation in transactional matters who thrives in a fast-paced, entrepreneurial, and collaborative environment.
This position focuses on representing clients in business and real estate matters, including business formation, corporate record drafting and compliance, mergers and acquisitions, purchase agreements, zoning compliance, and other matters. The successful candidate will work closely with our team to advocate for clients ranging from small to large business entities. Candidates with significant experience handling either business or real estate matters are encouraged to apply.
Key Responsibilities
- Draft, review, and negotiate commercial agreements, including purchase and sale agreements, operating agreements, and share holder agreements
- Advise clients on entity formation and governance, including corporations, limited liability companies, and partnership
- Represent clients in business acquisitions and sales, including asset purchase agreements, stock purchase agreements, due diligence
- Represent clients in commercial real estate transactions and development, including contract drafting and review, zoning compliance, due diligence review, and other related matters
- Represent clients in matters involving zoning and ordinance violations, and other governmental compliance matters
- Draft, review and negotiate master service agreements, lease agreements and other general contracts
Ideal Candidate Qualifications
- 5-8 years of experience in one or more of the practice areas.
- Excellent written and verbal communication skills.
- Demonstrated ability to analyze complex legal issues and develop creative and effective strategies.
- Proven success managing transactions from beginning of negotiations through closing.
- Capable of working both independently and as part of a collaborative team.
- Highly organized with the ability to manage competing deadlines and priorities.
- Self-motivated and proactive with sound judgment.
- A strong work ethic and a commitment to delivering outstanding client service.
- Proficiency in Spanish or a secondary language is a positive, but not required for this position.
